Job Summary

 

The Trust Secretary plays a critical role in the Trust’s strong governance and effective leadership, and will be a member of the Group Executive Team, enabling high-quality, progressive, and ingrained governance procedures that distinguish great NHS providers and well-led Trusts. The postholder will ensure that the Board acts fairly, with integrity, and without bias or discrimination in all its activities, so contributing to the establishment of an organisational culture that represents the Nolan Principles and Trust values and standards of behaviour.
The Trust Secretary, through a strong and trusted working relationship with the Chair and Chief Executive Officer, will ensure, advise, and alert on concerns connected to the organization’s governance, offering open and honest risk assessments and options for safe mitigation.
The Trust Secretary is in charge of developing procedures for the Trust’s robust, efficient, and effective governance, including through Board and Committee meetings, and will serve as an expert advisor in this regard to the Chair, Chief Executive Officer, the larger Board of Directors (including Executive and Non-Executive Directors), and the Council of Governors.

Person Specification

Qualifications

Essential

*First-degree or equivalent.

*Master’s degree and/or professional management qualification, or similar work experience.

*Evidence of ongoing professional development.

*Chartered Governance Institute Associate or Fellow designation, or similar experience.

*A legal qualification is desirable, as is substantial experience in interpreting and applying legal frameworks.

Experience

Essential

*Experience serving on a board in a large public sector organisation.

*Comprehensive understanding of NHS regulatory frameworks.

*Deep experience as a senior management.

* Extensive experience running a corporate governance function.

*Capable of understanding and navigating the complexity of NHS organisations at the Board level.

*A thorough understanding of the nature and function of a Foundation Trust Board of Directors and Council of Governors.

*Experience influencing organisational change.

*Working on and influencing business agendas.
